        The Site is not intended for use by anyone under 13 years of age. We do not knowingly solicit or collect Personal Information through the Site from anyone under the age of 13. If you are a parent or guardian of a child from whom you believe we have collected Personal Information in a manner prohibited by law, please contact us at compliance@verrill-law.com. If we learn that we have collected Personal Information through the Site from a child without the consent of the child’s parent or guardian as required by law, we will comply with applicable legal requirements to delete the information.

        If you are a client, potential client or past client of Verrill, then your engagement letter or other agreement with Verrill (if applicable), ethical rules and laws applicable to Verrill, and/or our web page Terms of Use may allow or require us to handle your Personal Information in ways different from those described in this Privacy Policy.

        WHAT IS “PERSONAL INFORMATION”?

        The term “Personal Information” as used in this Privacy Policy shall mean any information relating to an identified or identifiable natural person. Personal Data does not include data from which you can no longer be identified, such as anonymized aggregate data or other de-identified data.

        Affirmatively-Submitted Information

        We collect information that you affirmatively provide in connection with your use of the Site, including:

        • to work with third-party companies that we use to provide or market the Site or other services that we offer (“Third-Party Services,” below);
        • where we believe it is necessary to respond to legal claims asserted against us, to comply with legal process (e.g. warrants and subpoenas), to enforce or administer our agreements, to prevent fraud, for risk assessment, for investigation, and to protect the rights, property or safety of us, our users or others;
        • to a buyer or other successor in the case of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding;
        • in accordance with our ethical and legal obligations; and
        • in accordance with our applicable agreements with you, if you are a current or former Verrill client.

        The kinds of Personal Information we may collect include, but are not limited to, your contact details (such as your address, email address and telephone number) and information such as your job title that we may request from you. In addition, we collect the Personal Information you choose to provide to us, e.g., if you contact us by letter, telephone, email or any other means of electronic or personal communication. We may process your Personal Information if and to the extent applicable law provides a lawful basis for us to do so.

        We will therefore process your Personal Information only:

        1. if you have consented to us doing so;
        2. if we need it to perform the contract we have entered into with you; if we need it to comply with a legal obligation; or
        3. if we (or a third party) have a legitimate interest which is not overridden by your interests or fundamental rights and freedoms. Such legitimate interests will be the providing of legal services by us, administrative or operational processes within Verrill and direct marketing.

        We will use your Personal Information to deliver legal services to you and/or the institution you work or for whom you act. We may also use your Personal Information to inform you about our services, new (legal) developments, and our marketing events.

        Please note that we may use or disclose Personal Information if we are required by law to do so or if we reasonably believe that use or disclosure is necessary to protect our rights and/or to comply with judicial or regulatory proceedings, a court order or other legal process.

        Third-Party Services

        We use various Third-Party Services to operate the Site. These Third-Party Services include Facebook (Meta Platforms, Inc.), Google (Alphabet LLC), ClientPay (the operator of the portal we provide for clients who wish to make payments online), InvestCloud (the operator of our Fiduciary Services practice client portal), and Paycom (the operator of a portal we use in talent acquisition) and may include others in the future.

        Third-Party Services collect, use and share Personal Information pursuant to their own privacy and security policies. Some of them, including Google, may use location information and other Personal to serve advertisements to consumers on other websites. By using our Site, you consent to our providing Personal Information with Third-Party Services to be used in accordance with their own privacy and security policies as they exist today and as they may change in the future.

        DATA SECURITY; WAIVER OF CLAIMS

        WE CANNOT AND DO NOT WARRANT OR PROMISE THAT YOUR PERSONAL INFORMATION WILL BE FREE FROM UNAUTHORIZED ACCESS BY THIRD PARTIES IN CONNECTION WITH YOUR USAGE OF OUR SITE.

        BY USING THE SITE, YOU CONSENT TO OUR USING YOUR PERSONAL INFORMATION AS DESCRIBED IN THIS PRIVACY POLICY DESPITE THIS RISK AND WAIVE ANY CLAIMS AGAINST VERILL AND ITS AFFILIATES RELATING TO THE INTERCEPTION, USE OR DISCLOSURE OF YOUR PERSONAL INFORMATION BY THIRD PARTIES UNAUTHORIZED BY US.
