Sam Tincher

        Sam Tincher advises middle-market and emerging companies on mergers and acquisitions, corporate governance and day-to-day business matters. He focuses on delivering practical, business-oriented solutions that align with each client’s unique objectives and long-term growth strategies.

        As a member of the Business Law Group, Sam has broad experience representing businesses in connection with a variety of complex transactions, including domestic and cross-border mergers, acquisitions, leveraged buyouts, carve-outs, recapitalizations and other strategic investment transactions. He also regularly advises closely held and growth-stage companies on entity formation, governance matters, commercial agreements and general corporate counseling throughout all stages of the business lifecycle. Sam has advised clients across a wide range of industries, including industrials, healthcare, information technology and business services.

        Born and raised in Japan, Sam brings an international perspective and cross-cultural insight to his practice. Prior to joining Verrill, Sam leveraged his linguistic and cultural fluency at an international law firm in Tokyo, where he advised both U.S. and Japan-based clients on sophisticated transactional matters involving multinational businesses. He also served in the U.S. Department of Justice’s Securities and Financial Fraud Unit and the U.S. Securities and Exchange Commission’s Division of Enforcement in Washington, D.C., where he assisted with investigations and enforcement matters involving financial misconduct and supported prosecution teams through the review and translation of complex financial materials.

        Outside of his practice, Sam and his wife recently welcomed their first child. He enjoys spending time with his growing family and remains committed to maintaining a strong work-life balance amid a busy practice. He also continues to pursue his interest in travel and whiskey, and is a Certified Bourbon Professional who has explored distilleries across the United States, Japan and Scotland.
